We provide services for the state registration of Cyprus AIFs, including obtaining a license from the Regulator, while such funds, in turn, are divided into different types, which depend on the number and type of investors, on the type of fund management, etc. .d. Such a fund can also operate in the marketFOREXsubject to obtaining a license from the Cyprus regulator.

The standard procedure begins with obtaining a License for the AIF from the State Regulator (in the Cyprus CommissionCySEC). Depending on the final structure of the Foundation, the documents and procedure for obtaining such a License may change.

The general procedure for obtaining a License from CySEC for the AIF is as follows:

Preparation of the Application according to the established Form.
Preparation of a package of documents in addition to the Application, including - Offering Memorandum, Business Plan, Fund Internal Procedures Manual, and Organizational Structure.
Preparation of all legal documents of the Fund, including drafts of the Foundation Agreement and the Charter of the Fund, or the Partnership Agreement, depending on the structure of the Fund.
Preparation of Personal Questionnaires for management, shareholders (owners) of the Fund, Directors, as well as all professional managers who will be involved in the management and activities of the Fund (including the Internal Auditor, Compliance Manager, Risk Manager, Members of the Investment Committee).
Providing all the required KYC documents, which are listed above in paragraph 4.
After the completion of the preparation of documents - submission of documents (package) to the Cyprus Securities Commission.
Next stage– analysis of the submitted documents by the Cyprus Regulator, and receipt from the Regulator of comments and remarks on the documents, on other issues of the activities of the future Fund.
After the completion of the negotiation stage and receipt of a comment from the regulator (CYSEC Cyprus), submission of corrected documents to the Commission, the Regulator issues a provisional License to the Fund.
After obtaining a provisional License, the registration of the Company with the Registrar of Companies of Cyprus (if applicable depending on the chosen structure of the Fund) begins.
After the end of the registration of a new company under the Fund, the final documents, taking into account the registration of a new company - the Fund, are submitted to the Regulator (in CySEC) to obtain a BASIC LICENSE.
The Regulator grants the MAIN LICENSE to the Fund.
After obtaining the MAIN LICENSE, the Fund is registered in the register of the Regulator (the Fund is included in the lists of Funds) and uploaded on the CySEC Cyprus website in the AIF Funds section.

If you choose to register by type - Self-Managed Fund,then the functions of the Fund's management will be performed by the Board of Directors of the company. The company will be registered for the Foundation and it will be the Foundation itself. In this case, you need to register only one company, not two.

In the event that you plan to have no more than 75 investors, then it is necessary to register (create) a Fund with a limited number of persons (INVESTORS).

In the event that you register and choose to have 2 companies - the Fund and the management company,then individual functions can be transferred to external (other companies), but the management itself Ex. the company must be licensed (i.e. have licenses from the Regulator). At the same time, if a Management Company is established that manages the Fund, it must have a license to manage assets (funds, etc.), and it must also have a physical presence in Cyprus, in the form of a real working office. Any other requirements for the office of the Foundation Law of Cyprus

(About AIF) does not contain.

Authorized capital (minimum) AIF, which the Fund must have (depending on the type of Fund), must be paid in the process of obtaining a License from the Regulator. The Regulator, in the process of reviewing documents for obtaining a license, requests the bank where accounts are opened with the Fund, and waits for confirmation from the bank on payment of the Fund's MC. Until such confirmation from the bank is received, the Regulator will not issue a provisional license to the Fund.

In the event of an appointment of an External Administrator– such External Manager can only be a legal entity and have a license from the Regulator of Cyprus or from the Regulator of one of the EU countries. An individual cannot be an External Manager of the Fund. Any managers of the External Manager from EU countries must obtain the approval of the Cyprus Regulator before being appointed to the staff of the AIF's External Manager.

Regarding the Foundation Software:

The law does not contain any requirements for the software (software) of the Fund.

Regarding the Business Plan:

The Business Plan (BP) must be submitted to the Regulator in order to obtain a License (in the general package of documents).
